These Terms of Service (“Terms”) govern your access to and use of the FreeAgentMaker.ai website and services (“Service”) operated by FreeAgentMaker.ai (“we”, “us”, or “our”). By registering, logging in, or otherwise using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

1. Eligibility and Account

You must be at least 16 years old and able to form a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us promptly of any unauthorized access or use.

2. Description of Service

FreeAgentMaker.ai provides a platform to create, configure, and run AI-powered agents (e.g. for chat, workflows, and integrations). The Service may include third-party components (including AI and other APIs). We may change, suspend, or discontinue features with reasonable notice where practicable, except where prohibited by law.

Depending on your configuration, agent runs may be initiated manually or through automated triggers (such as schedules, webhooks, or inbound channels). Agent runs may draft or perform actions in connected services, subject to your settings, approvals, and plan limits.

3. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights.
• Engage in fraud, deception, harassment, or abuse.
• Transmit malware, attempt to gain unauthorized access to our or others’ systems, or bypass security or usage controls.
• Use the Service in a way that infringes intellectual property or privacy rights.
• Generate or distribute illegal, harmful, or offensive content, or content that exploits minors.

You are responsible for the inputs you provide and for reviewing agent outputs before taking high-impact actions (e.g. sending emails, making decisions). We may suspend or terminate accounts that we reasonably believe violate these Terms or pose a risk to the Service or others.

You are also responsible for maintaining appropriate safeguards for your use case, including approval gates, allowlists, and human review for high-stakes actions. You must not use the Service for medical, legal, financial, employment, or safety-critical decisions without qualified human oversight.

4. Your Content and Data

You retain ownership of the content and data you submit to the Service (“Your Content”). You grant us a limited license to use, store, and process Your Content as necessary to provide, improve, and secure the Service and to comply with law. Our use of personal data is governed by our Privacy Policy.

You represent that you have all rights, permissions, and legal bases needed to provide Your Content and to connect third-party systems (such as email, calendar, CRM, or messaging tools) to the Service.

5. Our Intellectual Property

The Service (including its design, code, and branding) is owned by us or our licensors. These Terms do not grant you any right to our trademarks or to copy or reverse-engineer the Service beyond normal use.

6. Plans, Limits, and Billing

• Features and usage limits (e.g. runs per day, saved agents) vary by plan and are described on the Service or in plan-specific communications.
• Pack and bundle actions (e.g. one-click founder packs) remain subject to your saved-agent and plan limits; free plans may receive a reduced starter set where applicable.
• Paid plans renew automatically at the then-current price unless you cancel before the next billing date.
• Introductory or promotional pricing (e.g. $9/month offers) applies only for the stated period; after that, the plan renews at the standard price unless we state otherwise.
• We may change plan terms or pricing with advance notice where required by law. Continued use after the effective date constitutes acceptance.
• Usage beyond included limits may be rate-limited, restricted, or billed as overage as described in your plan or our usage policy.

7. Third-Party Integrations and External Services

The Service may connect to third-party providers and APIs. Your use of those services is governed by their separate terms, policies, and availability. We are not responsible for third-party outages, policy changes, pricing changes, data handling, or functionality.

You are responsible for the credentials, scopes, and permissions you configure for connected services. If your agent executes actions through third-party integrations using your account permissions, those actions are treated as authorized by you unless caused solely by our breach of these Terms.

8. Cancellation and Refunds

You may cancel your subscription at any time through your account or our payment provider. Cancellation takes effect at the end of the current billing period. Unless required by law, fees paid are non-refundable, including for partially used periods.

9. Termination

We may suspend or terminate your access to the Service at any time for breach of these Terms, non-payment, or to protect the Service or others. You may stop using the Service at any time. Upon termination, your right to use the Service ends. Sections that by their nature should survive (including liability limits, indemnity, and dispute resolution) will survive termination.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. AGENT OUTPUTS MAY BE INACCURATE OR INCOMPLETE; YOU ARE RESPONSIBLE FOR REVIEWING AND VERIFYING OUTPUTS BEFORE RELYING ON THEM.

WE DO NOT PROVIDE PROFESSIONAL LEGAL, MEDICAL, ACCOUNTING, TAX, OR INVESTMENT ADVICE. ANY CONTENT GENERATED BY THE SERVICE IS FOR INFORMATIONAL PURPOSES AND MUST BE REVIEWED BY QUALIFIED PROFESSIONALS WHERE REQUIRED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FREEAGENTMAKER.AI AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM (OR ONE HUNDRED U.S. DOLLARS IF GREATER).

12. Indemnification

You agree to indemnify, defend, and hold harmless FreeAgentMaker.ai and its affiliates, officers, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, Your Content, or your breach of these Terms.

13. Governing Law and Disputes

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-law principles. Any dispute arising from or related to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction there. Nothing in these Terms limits your right to complain to a data protection or consumer authority where you live.

14. Changes to the Terms

We may update these Terms from time to time. We will post the revised Terms on this page and update the “Last updated” date. Your continued use of the Service after the changes take effect constitutes acceptance. For material changes, we may provide additional notice (e.g. by email or in-app notice) as required by law.

15. General

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in effect. Our failure to enforce a right does not waive that right. These Terms, together with our Privacy Policy and any plan-specific terms, constitute the entire agreement between you and us regarding the Service.
